I think your NIC is broken,
or your nic driver in 64bit mode is broken,
or your chipset has problems with "too much memory" and your pci-nic has
trouble because some DMA or so is to an offset that is outside the
adressable range of the pci bus. or some such.

we routinely do tests between 64bit (alpha, amd64) and 32bit x86,
and did not see any problem for a very long time.
